PURCHASE ORDERS TERMS AND CONDITIONS
1. ACCEPTANCE – (ENTIRE AGREEMENT / MODIFICATION). This order is for the purchase and sale of goods and services described on the face of this order. Acceptance of this order shall be limited to the terms and conditions contained herein and incorporated herein by reference. This order shall be deemed accepted upon the return of the acknowledgment copy of this order or the commencement of performance by seller. Buyer rejects any additional or inconsistent terms and conditions offered by Seller at any time, whether or not such terms or condition materially alter the order and irrespective of Buyer’s acceptance of or payment for items. These terms and conditions constitute the entire agreement between the parties and no change or modification of this order shall be binding upon Buyer unless in writing and signed by any authorized representative of Buyer’s procurement or purchasing office.2. INFORMATIONa. For the purpose of the Purchase Order Terms and Conditions, all Data provided to Seller from Buyer or other suppliers of Buyer shall be treated as “Information” and “Other Data” shall mean all technical data (including without limitation manufacturing, process, test or repair data, know-how, designs and data describing physical, functional and/or performance characteristics), computer software, and all other information, and/or data that: (1) has been supplied to Seller (or any other person) by or on behalf of Buyer, whether transmitted in writing, orally or otherwise; (2) Seller has designed, developed, or created at Buyer’s expense; and (3) all derivatives of (1) and (2) that Seller has designed, developed or created. Except to the extent specifically provided in these Purchase Order Terms and Conditions, Seller shall have no rights in any information.b. Seller may use information only in the performance of work for Buyer and, upon Buyer’s request, Seller will deliver all information and all copies thereof to Buyer.c. All information prepared by Seller specifically in connection with performance of this order, including original works of authorship created by Seller, are considered “works made for hire” under U.S. Copyright Law. Buyer shall be deemed the author of such works. If any such work is determined not to be a work made for hire, this Paragraph shall operate as an irrevocable assignment by the author of such work to Buyer of the copyright in the work, including all right, title, and interest throughout the world, including the right to make derivatives thereof and revisions thereto. Seller further agrees to assign to Buyer all other intellectual property rights to informationd. Seller may not disclose information to any person or entity without Buyer’s prior written permission. If, with the Buyer’s prior written permission, Seller furnishes information to any supplier or subcontractor of Seller for use in the performance of Buyer’s orders, Seller shall (1) insert the substance of Article 2 in all orders to such supplier or subcontractor, and (2) remain responsible hereunder for any breach by such supplier or subcontractor of Article 2.3. DELIVERIES AND SHIPMENTSa. Delivery of items in accordance with the schedule is a material requirement of this order. TIME IS OF THE ESSENCE. Seller shall not, without Buyer’s prior written consent, manufacture or procure materials in advance of Seller’s reasonable lead-time. Seller will, at its expense, ship by express or air shipment or by the most expeditious way if the delivery schedule is endangered for any reason other than Buyer’s fault. Buyer reserves the right to reject all or any part of any delivery that varies from the quantity authorized by Buyer for shipments. Items received more than 7 working days before the Release Date listed on the Purchase Order will either be returned at Seller’s expense or Invoice Payment Terms will be calculated from the Purchase Order Release date. All items shall be packaged in accordance with Buyer’s instructions or, if none are specified, in accordance with good commercial practice in a manner sufficient to ensure arrival in an undamaged condition. If requested by Buyer, Seller shall give notice of shipment to Buyer at the time of delivery of any shipment of items to a carrier for transportation. Title and risk of loss of items shall pass to Buyer at the FOB point specified on the face of this order, unless earlier passed pursuant to other provisions of this order.b. All shipments are to be made Freight Collect in accordance with the instructions listed on the Purchase Order. Buyer will not reimburse Seller for any shipping charges incurred for these instructions not being followed. If shipment is over 100 lbs, shipment is to be made via YRC Collect.4. INSPECTION. Notwithstanding (1) payment, (2) passage of title, or (3) prior inspection or test, all items are subject to final inspection and acceptance or rejection by Buyer at Buyer’s facility. At all reasonable times, including the period of manufacture, Buyer and/or its customers may inspect and/or test the items to be furnished hereunder at the places where the work is being performed, including those of the Seller’s suppliers, and Seller shall provide, without additional charge, reasonable facilities and assistance for safe and convenient inspection and test. Buyer may inspect 100% or a sample of all items or any lot of items at Buyer’s option, and Buyer shall have the right to reject all or any portion of the items or lot of items, if any such inspection reveals them to be, in Buyer’s sole opinion, defective or non-Conforming. Seller shall provide and maintain a test and inspection system acceptable to Buyer and its customers, if required. Records of all inspection work by Seller shall be kept complete and available to Buyer and its customers during the performance hereof and for seven years after final payment by Buyer or for such longer period as may be specified elsewhere.5. WARRANTYa. Seller warrants to Buyer, its successors and customers that for a period of twenty-four months after acceptance of items, that all items furnished to Buyer will be free from defect in material and workmanship, will conform to applicable drawings, designs, specifications and samples, will meet all functional and performance requirements and, to the extent this order calls for services to be performed, that such services will be free from defects in workmanship, will meet all of the requirement of this order and will be performed to the highest standards of workmanship in the industry (all of which are hereinafter collectively called “Conforming Items”).b. In the event Conforming Items are not furnished, Seller shall repair or replace such non-Conforming Items within twenty days after the non-Conforming Item is returned to Seller. The failure of Seller to repair or replace such and redeliver such non-Conforming Items within such twenty day period shall entitle Buyer, at its election and in addition to any other rights or remedies it may have at law or in equity, to have such non-Conforming Items corrected at Seller’s expense. In addition to the costs of repairing or replacing such non-Conforming Items seller agrees that, notwithstanding the provisions of any warranties, expressed or otherwise, negotiated with respect to Items purchased from Seller by Buyer or Buyer’s customers, Seller shall reimburse the Buyer for labor and material cost, including overhead and general administrative expense reasonably incurred by Buyer in connection with: (1) the unscheduled removal and/or replacement of such items or components thereof from a higher lever assembly due to failure of such items to conform to requirements of this order or defective material, workmanship, or design; (2) any such removal of said items at seller’s request; or (3) any such removal of said items required due to any previously required changes to said items which Seller has failed to incorporate. This remedy is not exclusive and shall not be in lieu of any other remedy available a law, in equity, or under this order.c. The warranty period shall be suspended upon notice that non-Conforming Items have been furnished until they have been repaired or replaced and redelivered to Buyer postage or freight prepaid, or in the case of non-Conforming services, have been corrected. The unexpired portion of the warranty shall be applicable to the repaired, replaced or corrected Conforming Items.
A.F. TECHNOLOGIESQUALITY REQUIREMENTSThe applicable quality requirements described below form partof the requirements of this Purchase Order
1) All products ordered under this P.O. (Purchase Order) should meet the applicable drawings, specifications, standards and purchase order requirements. Supplier shall subject all products to inspection and test to ensure product meets all the below requirements. Also suppliers are required to meet the AFT requirements for on time delivery and defect free product. Failure to meet these requirements will result in a supplier corrective action being issued. Current OTD requirement is 90% and vendor order acceptance of 95%.
Quality System Requirements2) The vendor / supplier shall as a minimum maintain a quality management system certified to applicable ISO 9000 series and/or AS9100 series quality standards or maintain a quality management system which complies with industry standards and specifications which is appropriate to the type of product. 3) Special Process vendors, for processes such as NDT, Heat Treatment, Welding, chemical processing, coating, painting etc shall be NADCAP accredited as applicable to the customer and / or specified requirement.
4) When AF Technologies Inc chooses to outsource any process or service that may affect the quality of its product, the elements of this document and all required specifications shall be met.
5) Supplier shall ensure that all personnel assigned to perform the services required for the product(s) ordered on the P.O. are skilled, trained /qualified and competent. Supplier personnel shall be aware of their contribution to product conformity and product safety, as well as the importance of ethical behavior.
6) All AFT purchase orders shall be reviewed by vendor prior to release to ensure that all requirements,and risks have been taken into consideration and are reflected in production and inspection procedures as applicable.
7) Vendor / supplier shall establish and maintain a quality monitoring system that is structured to provide 100% defect free product / services to AF Technologies Inc. As a minimum, the inspection of AF Technologies product / services shall be traceable to AF Technologies Inc PO requirements.
8) The vendor shall retain Quality records to provide evidence that the product realization process and resulting product meet specified requirements. The records shall show unbroken chain of documentation and traceability. The records shall be retained to be retrievable for a minimum of ten year period.
Process control9) AF Technologies Inc vendors shall demonstrate adequate control of their processes, the controls shall include but are not limited to:a) Specified Key characteristics shall be monitored and controlled during the processb) When necessary, change the process to meet AF Technologies Inc / customer requirements. Such changes shall be documented and AF Technologies Inc shall be immediately notifiedc) Documented procedures shall be used to maintain and control processes, tooling, equipment, and work environment and product validation processes may include validation of first article produced or inspected prior to production.d) Vendor / supplier shall ensure that tools and equipment used to final acceptance of the product are calibrated and traceable to NIST. Vendor shall maintain a foreign object debris / damage (FOD) prevention program e) AF Technologies Inc vendors shall maintain a counterfeit parts prevention and control program
10) All purchased products shall be provided as a minimum with C of C. In addition, a product test report and traceable raw material mill certificate shall be provided for product / service as applicable and / or specified and shall be made available on request. The test certificate shall include Ranges showing product conformity.
11) All chemicals / hazardous material shall be accompanied with a copy of SDS.
12) Age control: For age sensitive material / parts, Vendor shall provide parts with at least 80% age remaining from the date of shipment.
13) Access: AF Technologies Inc and its customers, representatives including government agencies and regulatory authorities shall be given right to access premises where the work is being conducted for the purpose of inspection and / conduct any investigation upon request. 14) Flow Down Requirement: Supplier shall comply to & flow down to sub tier suppliers the applicable requirements in the purchase order. 15) Product Non-conformance: Vendor shall notify AF Technologies Inc immediately, in case a product non conformance is detected after shipment.
16) Vendor shall be compliant to Dodd Frank act on conflict minerals.
RQ032 EXPORT CONTROL OF TECHNICAL DATA:
(IF) This item has technical data some or all of which is subject to export-control of either the International Traffic in Arms regulations (ITAR) or the Export Administration Regulations (EAR), and cannot be exported without prior authorization from either the Department of State or the Department of Commerce. Export includes disclosure of technical data to foreign persons and nationals whether located in the United States or abroad. This requirement applies equally to foreign national employees and U.S. companies and their foreign subsidiaries. DFARS 252.225-7048 is applicable to this data. The Defense Logistics Agency (DLA) limits distribution of export-controlled technical data to DLA contractors that have an approved US/Canada Joint Certification Program (JCP) certification, have completed the “Introduction to Proper Handling of DOD Export Controlled Technical Data Training” and the DLA “Export-Controlled Technical Data Questionnaire” (both are available at the web address given below), and have been approved by the DLA controlling authority to access the export-controlled data. Instructions for obtaining access to the export-controlled data can be found at: https://www.dla.mil/HQ/LogisticsOperations/EnhancedValidation/ To be eligible for award, offerors and any sources of supply proposed for use are required to have an approved JCP certification and have been approved by the DLA controlling authority to access exportcontrolled data managed by DLA. DLA will not delay award in order for an ineligible offeror or its supplier to apply for and receive approval by the DLA controlling authority to access the exportcontrolled data.
CYBERSECURITY
The flowed down Terms and Conditions on the following pages shall be accepted and adhered to, in addition to A F Technologies’ standard PO Terms and Conditions.
Prior to accepting this order when flowdown, the seller (IF DFARS 252.204-7012 STATED) must shall provide adequate security on all covered contractor information systems according to DFARS 252.204-7012 Safeguarding Covered Defense Information and Cyber Incident Reporting.
